Terms of Service

1. Introduction and acceptance

These Terms of Service ("Terms") are a contract between you and [Movly — legal entity name] ("Movly", "we", "us", or "our") governing your access to and use of the Movly website, applications, players, and related services (the "Service"). By accessing or using the Service, or by authorizing anyone to do so on your behalf, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you accept these Terms on behalf of a company or other legal entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.

2. Eligibility

The Service is intended for adults. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or make purchases. By using the Service you represent that you meet these requirements and that the information you provide is accurate.

3. Your account

You can browse and watch a limited number of free episodes without an account. To make purchases or save your progress, you may create an account with an email address and password. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. The Service and licensed content

The Service offers short-form video series for streaming. Some or all content on the Service is owned by third-party content owners and licensed to Movly (for example, content provided by NetShort and other licensors). All content is protected by copyright and other intellectual-property rights and remains the property of Movly or its licensors. We may add, remove, or change the available content, features, and catalog at any time without notice.

5. Coins and purchases

• Coins. Coins are a prepaid virtual balance used to unlock episodes. Coins have no cash value, are not redeemable for money, cannot be transferred or resold, and do not constitute property or any other right outside the Service.
• Unlocks. After the free episodes, additional episodes can be unlocked using coins, and a full series can be unlocked with a one-time purchase. These are one-time purchases, not recurring subscriptions; nothing on the Service auto-renews or recurs unless expressly stated at the time of purchase.
• Payment. Prices are shown before you buy. Payments are processed by our third-party payment processor, which may support cards, Apple Pay, Google Pay, and similar methods. By purchasing, you authorize the applicable charge. Movly does not collect or store your full card details.
• Final sale. Digital content and coins are delivered or credited immediately. Except where a refund is required by applicable law, all purchases of coins, unlocks, and series are final and non-refundable, including any unused coin balance if your account is terminated.
• Pricing changes. We may change prices and the coin economy at any time; the price shown at the time of a purchase applies to that purchase.
• Taxes. Prices may exclude applicable taxes, which you are responsible for where required.

6. License granted to you

Subject to these Terms, Movly grants you a personal, limited, non-exclusive, non-transferable, and revocable license to access and stream content you are entitled to, for your own personal, non-commercial use only. This license ends if these Terms end or your access is revoked.

7. Acceptable use and restrictions

You agree not to, and not to attempt to or allow others to:

• download, copy, record, capture, rip, redistribute, publicly perform, sell, sublicense, or otherwise exploit any content from the Service;
• circumvent, disable, or interfere with any access controls, paywall, security, or content-protection measures;
• share, resell, or transfer your account, coins, or unlocked content to others;
• scrape, crawl, reverse engineer, or use bots or automated means to access the Service;
• use the Service unlawfully, to infringe others' rights, or to disrupt or harm the Service or other users.

Violation of this section may result in immediate suspension or termination without refund, and you may be responsible for any resulting losses, including to our content licensors.

8. Intellectual property

The Service, including its software, design, trademarks, and all content, is owned by Movly or its licensors and is protected by law. Except for the limited license above, these Terms do not grant you any right, title, or interest in the Service or its content.

9. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time and may delete your account through support. We may suspend or terminate your access at any time, including for any violation of these Terms or to comply with law. Termination does not entitle you to a refund of fees already paid or unused coins, except where required by law. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content will always be available. To the maximum extent permitted by law, your use of the Service is at your own risk.

11. Limitation of liability

To the maximum extent permitted by law, Movly and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, Movly's total aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid to Movly in the three (3) months before the event giving rise to the claim, or USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Movly and its affiliates and licensors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party, including our content licensors.

13. Changes to these Terms

We may modify these Terms or the Service at any time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.

14. Governing law and dispute resolution

These Terms are governed by the laws of [governing-law jurisdiction], without regard to conflict-of-laws rules. You and Movly will first try in good faith to resolve any dispute informally.
