Content Protection Policy

This Content Protection Policy ("Policy") explains who owns the content made available through Movly and the strict limits on how it may be used. It applies to everyone who accesses Movly through our website, apps, players, embeds, or any other means, and it forms part of and is incorporated into our Terms of Service. In this Policy, "Movly", "we", "us", and "our" mean Movly and its affiliates, and "you" means any person or entity that accesses or interacts with the Content.

1. What this Policy covers ("Content")

"Content" means all material made available on or through Movly, in any format and on any medium, whether now known or later developed, including without limitation: video series, episodes, trailers, and clips; the moving images, scenes, shots, and frames within them; audio, music, sound design, dialogue, and voice recordings; scripts, screenplays, storylines, plots, characters, names, and dialogue; subtitles, captions, and translations; thumbnails, posters, key art, images, photographs, graphics, and artwork; titles, logos, branding, and trade dress; descriptions, metadata, and catalog data; the look, feel, layout, and design of the apps and website; and any compilation, selection, or arrangement of the above. Content includes both the whole and any part of any of the foregoing, however small.

2. Ownership

All Content is owned by Movly or by the creators, studios, and partners who license it to us, and is protected by copyright, trademark, database, and other intellectual-property and proprietary rights under the laws of the United States and other countries and under international treaties. As between you and Movly, Movly and its licensors are and remain the sole and exclusive owners of all right, title, and interest in and to the Content, including all intellectual-property rights in it. Nothing you do, and nothing in this Policy or the Service, transfers any ownership of the Content to you.

3. Your limited licence

Subject to your full compliance with this Policy and the Terms of Service, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and stream the Content solely for your own private, personal, non-commercial entertainment, using the standard features of the Movly apps and website, and only while your access is permitted. This is a licence to view only. It is not a sale, and it grants you no ownership and no other rights. We may suspend, modify, or revoke this licence at any time. Any use of the Content outside this licence is unauthorized and is a breach of this Policy and an infringement of our and our licensors' rights.

4. Prohibited uses

Except with our prior, express, written permission, and to the maximum extent that any of the following can lawfully be prohibited, you must not, and must not permit, enable, encourage, or assist any other person or system to:

The prohibitions above apply to the whole of any Content and to any portion of it, no matter how brief or small, including a single episode, scene, clip, frame, still image, audio segment, line of dialogue, or piece of artwork.

5. No modification, no derivative works — we still own it

You may not edit, cut, trim, clip, splice, re-cut, re-edit, dub, voice-over, re-voice, subtitle, caption, translate, localize, remix, mash up, reformat, transcode, re-encode, resize, recolor, filter, upscale, alter the speed or audio of, add to, overlay, combine, or otherwise modify or create any derivative work from any Content, in whole or in part.

Modifying, editing, or changing the Content — even slightly, and even if combined with your own or third-party material — does not create new, separate, or independent rights for you and does not defeat, reduce, or extinguish our rights. Any such modified, edited, translated, dubbed, combined, or derivative version of the Content remains a work based on our Content, remains subject to this Policy, and continues to infringe our and our licensors' rights. To the extent any intellectual- property right in any unauthorized modification or derivative of the Content would otherwise vest in you or any third party, you hereby irrevocably assign, and will procure the assignment of, all such right, title, and interest to Movly (or, where applicable, our licensor), free of charge, and you waive any moral rights in it. We own the Content, and we own anything made from it.

6. Trademarks and brand

"Movly", the Movly logo, and our other names, marks, and trade dress are trademarks of Movly. You may not use them, or anything confusingly similar, without our prior written permission, including to label, promote, or pass off any unauthorized copy or derivative of the Content.

7. Reservation of rights

All rights not expressly and specifically granted to you in section 3 are reserved by Movly and its licensors. No right or licence is granted by implication, estoppel, course of dealing, or otherwise. Your access to the Content does not grant you any right to the underlying intellectual property.

8. Enforcement and remedies

Unauthorized copying, uploading, modification, or distribution of the Content is copyright (and may be trademark) infringement and a breach of this Policy and the Terms of Service. We actively monitor for and protect against misuse of our Content and that of our partners. Where Content is used without permission, we and our licensors may, at our sole discretion, separately or together, and to the fullest extent permitted by law:

Our failure to enforce any part of this Policy at any time is not a waiver of our right to enforce it later, and our remedies are cumulative and in addition to any others available at law or in equity.

9. Reporting infringement and counter-notice

We respect the rights of others and expect the same in return. If you are a rights holder and believe that Content on Movly infringes your rights, please send us a written notice through our contact page that includes: your contact details; identification of the work you claim is infringed; identification of the material on Movly you say is infringing and where it is; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorized to act for them; and your physical or electronic signature. We will review and act on valid notices promptly, and we may remove the material and, where appropriate, accept and process counter-notices in accordance with applicable law.

10. Changes to this Policy

We may update this Policy from time to time. The version posted here is the current one and applies from the date shown above. Your continued use of the Service after a change means you accept the updated Policy.

11. Governing law

This Policy is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and any dispute relating to it is subject to the exclusive jurisdiction of the state and federal courts located in Delaware, United States, unless applicable law requires otherwise. This Policy applies in addition to, and does not limit, any rights we have under copyright, trademark, or other law.
